1. Acceptance and eligibility
By creating an OmniSeller account, requesting beta access, connecting a selling account or otherwise using the service, you agree to these terms and the Privacy Policy. If you use OmniSeller for an organization, you represent that you have authority to accept these terms for that organization.
You must be at least 18 years old, legally able to enter a contract and permitted to use any connected seller account. Beta access may be limited by region, marketplace, technical readiness or capacity.
2. Private-beta service
OmniSeller is a seller operations workspace under active development. Current scope is described on the Features page. Nexa may add, modify, suspend or remove beta behavior to protect data, correct defects, comply with policy or improve the service. Where practical, we will provide notice before a material change that adversely affects paid access.
Labels such as “implemented” describe product code and local verification; they do not mean the feature has been approved by Amazon or proven in every live account. Features marked planned or under integration verification are not contractual deliverables.
3. Accounts and security
You must provide accurate information, keep account credentials confidential and promptly notify Nexa of suspected unauthorized access. You are responsible for actions taken through your organization account and for assigning appropriate roles to authorized personnel.
Do not share passwords, one-time codes, Amazon credentials or OmniSeller session tokens with support. Nexa may require identity or organizational verification before granting access, changing ownership, disclosing data or processing deletion.
4. Amazon connection
Amazon access is optional and seller-authorized. You authorize OmniSeller only through the process made available for the app and represent that you have authority over the connected seller account. You remain responsible for your Amazon account, listings, inventory, prices, policies, taxes and obligations.
Amazon may change APIs, permissions, rate limits, policies or availability. Nexa does not control those changes and cannot guarantee that a connection will be approved, remain available or return every field. OmniSeller is an independent product and is not endorsed by or presented as a partner of Amazon.
5. Demo, plans, fees and cancellation
Seven-day Demo
An accepted Demo lasts seven calendar days from the confirmed activation time. It ends without converting to a paid plan unless you and Nexa expressly confirm a paid plan. Demo access may be declined or delayed if the requested connection is not ready or the use case falls outside current beta scope.
Paid beta plans
Published beta prices are USD 49.99 per month for Emprendedor and USD 129.99 per month for Millionaire Pro, excluding applicable taxes. During beta, plan activation, payment method and renewal date are confirmed directly because automated billing and entitlement enforcement are not yet active.
Any additional service, custom work or future paid module requires separate disclosure and agreement. Amazon selling fees, advertising, fulfillment charges, taxes and third-party services are not included.
Cancellation and changes
You may request cancellation before the next confirmed renewal date. Unless otherwise agreed, cancellation takes effect at the end of the paid period. We may change future pricing with advance notice; no new charge is applied without the notice and agreement required by applicable law.
6. Acceptable use
You may use OmniSeller only for lawful internal business purposes and in compliance with applicable Amazon agreements and policies. You must not:
- Access or attempt to access another organization, seller account or data without authority.
- Probe, bypass, disable or interfere with security, rate limits, authentication or tenant isolation.
- Upload malware, exploit defects, overload the service or use automated traffic that harms reliability.
- Use OmniSeller or retrieved information for unlawful surveillance, discrimination, spam, data brokerage or unrelated advertising profiles.
- Resell, sublicense, reverse engineer or copy the service except where applicable law expressly permits it.
- Submit buyer personal data, payment-card data or restricted information outside the expressly supported workflow.
- Misrepresent output as guaranteed, audited or endorsed by Amazon.
7. Your data, privacy and feedback
You retain rights in information you lawfully provide or authorize OmniSeller to process. You grant Nexa the limited permission necessary to host, process, display, protect and transmit that information to provide the service and meet legal or platform obligations.
You are responsible for having the rights and notices required to provide information to OmniSeller. Nexa handles information as described in the Privacy Policy.
If you voluntarily provide product feedback, you permit Nexa to use it to improve OmniSeller without an obligation to pay you, provided we do not publicly identify you or disclose confidential seller data without permission.
8. OmniSeller ownership
Nexa and its licensors retain all rights in OmniSeller, including its software, design, documentation, branding and aggregated or de-identified operational learnings. These terms grant only a limited, revocable, non-exclusive, non-transferable right to use the service during the authorized period.
9. Third-party services
OmniSeller depends on third-party platforms and infrastructure, which may have separate terms and privacy policies. Nexa is not responsible for a third party's independent service, decision, outage, suspension or policy change. Links do not imply endorsement.
10. Decision support and disclaimers
OmniSeller provides operational decision support. It does not provide accounting, tax, legal, investment or guaranteed-profit advice.
Profitability results depend on the inputs, marketplace, fee schedule and assumptions selected. Missing costs, delayed marketplace reports or inaccurate user input can materially change an outcome. You must verify important decisions against Seller Central, current Amazon documentation and qualified professional advice.
To the maximum extent permitted by law, the beta service is provided “as is” and “as available.” Nexa disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. Nothing in these terms excludes a warranty or right that applicable law does not permit us to exclude.
11. Limitation of liability
To the maximum extent permitted by law, Nexa will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data or business opportunities arising from the beta service, Amazon changes or a decision made using OmniSeller output.
To the maximum extent permitted by law, Nexa's aggregate liability arising from OmniSeller will not exceed the amount you paid Nexa for OmniSeller during the three months before the event giving rise to the claim. This limit does not apply where liability cannot legally be limited.
12. Suspension and termination
You may stop using OmniSeller and request account closure. Nexa may suspend or terminate access for nonpayment, security risk, unauthorized use, material breach, Amazon restriction, legal requirement or discontinuation of the beta. When practical and safe, Nexa will provide notice and an opportunity to correct a curable breach.
After termination, rights to use the service end. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, liability limits and dispute provisions—remain effective. Data is handled according to the Privacy Policy and applicable retention obligations.
13. Changes to these terms
Nexa may update these terms as the beta evolves. The effective date will change, and material changes will receive reasonable notice through the service or account email. Continued use after the effective date constitutes acceptance where permitted by law.
14. General terms
These terms and referenced policies form the agreement for OmniSeller unless a signed order or beta agreement states otherwise. If one provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. You may not assign the agreement without Nexa's consent; Nexa may assign it as part of a reorganization, financing or transfer of the service.
The governing law and forum are those applicable to the Nexa legal entity identified in the customer's accepted order or beta agreement, without regard to conflict-of-law rules. Consumer rights that cannot be waived remain unaffected.
